Terms of Service

join.soort.ai, the SOORT partner platform

These Terms govern your use of join.soort.ai, operated by SOORT AG. They are separate from the terms covering soort.com.

1. What these Terms cover, and what they do not

These Terms govern your use of the platform: browsing it, applying, holding an account and using the partner dashboard.

They do not govern your commercial relationship with SOORT. That is set out in the agreement for your role:

  • Shops: the SOORT Shop Partner Agreement
  • Affiliates: the SOORT Affiliate Onboarding Agreement
  • Country managers: the SOORT Country Manager Agreement

You accept the relevant agreement on this platform when you apply. Where these Terms and your partner agreement conflict, your partner agreement prevails.

2. Applying

Anyone may browse this platform. To apply you must be a business, or acting on behalf of one, and authorised to enter agreements for it.

You are responsible for the accuracy and completeness of everything you submit, including where an affiliate completes an application on your behalf. Applications containing false or misleading information may be rejected, and partnerships obtained that way may be terminated.

Applying does not create a partnership. Applications are reviewed, and SOORT is not obliged to accept any application or to give reasons for a decision beyond what data protection law requires.

3. Verification

Applications are checked against external registers and public sources, as described in our Privacy Policy. A trust score is calculated to support the review. The score is not the decision. A person reviews every application.

4. Acceptance of agreements by clicking

Where you accept an agreement or an amendment on this platform by clicking "I agree", that acceptance is legally binding and no separate signature is required. The platform keeps a timestamped record of each acceptance, including the version accepted.

5. Accounts

You are responsible for keeping your login credentials secure and for activity under your account. Notify us promptly at contact@soort.com if you believe your account has been compromised. Accounts are for the business that holds them and may not be shared or transferred without our written approval.

6. Acceptable use

Your use of this platform is subject to the SOORT Acceptable Use Policy, current version, incorporated into these Terms by reference.

In addition, you agree not to attempt to gain unauthorised access to the platform or to other partners' data, to interfere with its operation, to scrape or bulk-extract information about other partners, or to use it in a way that infringes the rights of others.

7. Your content

You retain ownership of the information and material you submit. You grant SOORT the licence set out in your partner agreement, and where none applies, a licence to use what you submit for the purpose of assessing your application and operating the platform.

You confirm that you have the right to submit everything you provide, including logos, images and certification claims.

8. Suspension of platform access

We may suspend or restrict access to the platform where we reasonably believe it is being misused, where an account is compromised, or where required by law. Suspension of platform access is separate from suspension or termination under your partner agreement, which follows that agreement's own terms.

9. Availability

We operate the platform on a commercially reasonable basis. We do not warrant that it will be available without interruption or free from errors, and we may change or discontinue features. We give reasonable notice of material changes affecting active partners.

10. Third-party content and links

The platform displays information provided by partner businesses and links to third-party sites. We do not control that content and accept no responsibility for it.

11. Limitation of liability

We are not liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, data, goodwill or business opportunity, arising from your use of or inability to use the platform.

Where you are a partner, our aggregate liability is limited as set out in your partner agreement. Nothing here limits liability for fraud, wilful misconduct, or any liability that cannot be limited under applicable law.

12. Changes to these Terms

We may modify these Terms. Material changes will be published here with at least thirty days notice before they take effect, matching the notice period in the partner agreements. Continued use after the effective date constitutes acceptance.

13. Governing law and jurisdiction

These Terms are governed by Swiss law, excluding its conflict of law principles and the CISG. The exclusive place of jurisdiction is the courts of Zurich, Switzerland, consistent with the partner agreements.
